Cibus explores the conditions for carrying out a directed share issue

Cibus Nordic Real Estate AB (publ) ("Cibus" or the "Company") intends to carry out a directed share issue with the objective of securing financing to be able to capture the acquisition opportunities that the Company has identified in its main markets. Cibus has engaged Nordea Bank Abp, filial i Sverige and Pareto Securities AB as Joint Global Coordinators and Joint Bookrunners (jointly the "Managers") to explore the conditions for carrying out a directed share issue of up to 2,680,000 shares to Swedish and international institutional, and other qualified, investors (the "Share issue") through an accelerated book building process (the "Bookbuilding procedure").


The Share issue

Cibus sees a positive market situation where the conditions in the near future are very good for value adding acquisitions. The Company has a strong pipeline of different potential acquisitions in both of the Company's main markets, Finland and Sweden, amounting to approximately 120 million EUR, of which most individual acquisitions are smaller in nature but to a large extent concerns one potential acquisition in Finland. In order to be able to take advantage of these opportunities and at the same time maintain a solid financial position, in accordance with the Company's finance policy, Cibus has decided to investigate the conditions for the Share issue.

The reasons for the deviation from the shareholders' preferential rights are mainly because the Company considers it appropriate to further diversify the shareholder base among Swedish and international institutional, and other qualified, investors as well as to raise capital in a time- and cost-efficient manner.

The subscription price and allocation of shares in the Share issue will be determined through the Bookbuilding procedure, which will commence immediately after publication of this press release and is expected to end before trading starts on Nasdaq First North Premier Growth Market 2 December 2020. The total number of shares issued, the subscription price and allotment in the Bookbuilding procedure is determined by Cibus in consultation with Managers. The Company will inform about the outcome of the Share issue in a press release when the Bookbuilding procedure has been completed. The Bookbuilding procedure can, if the Company or the Managers chooses to do so, end earlier or later and can at any time be cancelled, thus the Company can, in part or in full, refrain from executing the Share issue. As the subscription price of the shares in the Share issue is determined by the Bookbuilding procedure, it is the board of directors' assessment that the subscription price is determined in accordance with market conditions.

The Share issue is intended to be carried out with support by the authorisation granted by the annual general meeting held on 24 April 2020.

Lock-up undertakings

In connection with the Share issue, the Company's CEO, Sverker Källgården, and CFO, Pia-Lena Olofsson, have undertaken, with certain exceptions, not to sell or in other ways dispose their shares in the Company for a period of 90 calendar days after the completion of the Share issue.

The Company has undertaken not to propose or take measures involving activities increasing the share capital, share issues and similar measures, with certain exceptions, for a period of 90 calendar days after the completion of the Share issue, without the consent of the Managers.


Nordea Bank Abp, filial i Sverige and Pareto Securities AB act as Joint Global Coordinators and Joint Bookrunners. Baker McKenzie acts as legal adviser to the Managers in connection with the Share issue. Roschier Advokatbyrå AB acts as legal adviser to the Company in connection with the Share issue.
